Ethics and Business Policy
The REIT Manager of the Golden Ventures Leasehold Real Estate Investment Trust (“GVREIT”) pays attention and recognizes its responsibility towards all stakeholders in order to conduct its business alongside this belief while operating its business with moral, ethics, honesty, transparency, and professionally as per the framework of business and operational policy prescribed by the Frasers Property (Thailand) Public Company Limited Group, which is set as a guideline policy for all companies in the group and their staff of all levels to strictly comply with. This guideline covers all aspects of conduct such as corporate governance, anticorruption, human rights, environmental protection, evolution, and innovation, and intends to promote the GVREIT business conduct while enabling it to grow towards a stable and sustainable growth path.
Corporate Governance
The Company acts as the REIT Manager and recognizes the importance of good corporate governance and believes that good governance consists of a good management system, responsible Board of Directors and management, applicable mechanism of control and balance of power to enable the transparency and accountability in managing the GVREIT, respect of equality of all unit holders, proper protective measures against conflict of interest, all of which are prescribed to equitably create confidence and maximize benefits among all stakeholders, while enabling the Company to achieve its long-term sustainable business objectives and goals.

The Company acting as the REIT Manager abides by its honesty, transparency, and fairness in its business conducts. It also operates within the framework of applicable laws, ethics, and good corporate governance principles, as well as promotes anticorruption measures. It is aware that corruption greatly impact business operations, sustainable growth, economic and social systems, and national security. It emphasizes creation of good awareness, values, and attitudes among its employees in conducting their work duty, encourages them to respect relevant rules, laws and regulations, and promotes all forms of anticorruption measure as well as upholds them as its organizational values and culture. Additionally, it regularly reviews and monitors the compliance of the anticorruption practices, measures, and guidelines and assures that they are in line with the policy of the Frasers Property (Thailand) Public Company Limited Group.
